* Natural persons are exempt from both transfer duty and stamp duty up to N$1 100 000. Postages, petties and the FIA fee are flat charges, not tariff items.

  • Deeds Registries Act 47 of 1937Read with the Deeds Registries Regulations, 1996 — Government Notice No. 180 of 1996, Government Gazette No. 1343. Annexure I sets the Deeds Office fees of office; Annexure II sets the tariff of conveyancing and notarial fees.

  • Stamp Duties Act 15 of 1993As amended by the Stamp Duties Amendment Act 7 of 2024, in force 1 October 2024.

* Used when buying a member’s interest in a Close Corporation that owns immovable property. Two things decide the cost. First, the use of the property the corporation owns: transfer duty is payable only where it is residential, so where the corporation owns commercial property no duty arises. Second, whether the property is sectional title or freehold, which sets the attorney fee. The purchaser is not asked because only a natural person may hold a member’s interest, so the tiered scale in the Transfer Duty Act always applies — the flat 12% is for an entity buying property directly, which is the Transfer Cost tab. Stamp duty is not payable on the transfer of a member’s interest; the corporation attracts its own nominal stamp duty instead, which is not included above. No Deeds Office fee is payable — the property itself does not transfer, as the corporation remains the registered owner.

Applicable legislation

  • Close Corporations Act 26 of 1988As amended to the Close Corporations Amendment Act 5 of 2023, in force 21 July 2023. Section 30 — the interest is a single interest expressed as a percentage. Section 37 — no member may dispose of an interest except under an association agreement or with the consent of every other member. Section 38(a) — the transfer is effected by cancelling or reducing the seller’s percentage and allocating it to the buyer.
  • Close Corporations Act, section 29(1)Only natural persons may hold a member’s interest. This is why the purchaser type does not change the figure: the acquirer is always a natural person, so the tiered scale applies.
  • Transfer Duty Act 14 of 1993As amended by the Transfer Duty Amendment Act 6 of 2024, in force 1 October 2024. The amendment widened “property” to include a share in a company, a member’s interest in a close corporation, or a trust, that owns residential property. It created no new rate: section 2(1)(a) applies to natural persons and section 2(1)(c) charges 12% to everyone else.
  • “Residential property”A dwelling house, holiday home, apartment or similar abode, and land zoned for residential use. It excludes apartment complexes, hotels and guesthouses of five or more units held as rentals to connected persons — so a block of flats held for letting may fall outside the charge even though every unit is a dwelling.
  • Stamp Duties Act 15 of 1993Not applicable to the transfer of a member’s interest. The close corporation attracts its own nominal stamp duty instead, which is not included in the estimate above.
  • Value-Added Tax Act 10 of 2000VAT is charged on the attorney fee only.

Required, but not priced above

  • BIPA registration feeSection 15(1) requires an amended founding statement to be lodged with the Registrar within 28 days of the change, signed by every member and by the incoming member, together with the fee prescribed for its registration. That fee is set by regulation and is not included in the estimate above. Failure to lodge attracts a reminder and then a penalty of up to N$10 per day, enforceable as a civil judgment.
  • Beneficial ownership filing — seven daysSection 16A(3), inserted by the Close Corporations Amendment Act 5 of 2023, requires the corporation to file the updated beneficial owner information with the Registrar within seven days of the change. Non-compliance carries an administrative penalty of up to N$50 000, a further N$1 000 for each day it continues, and listing as inactive followed by deregistration after six months.
  • Consent of the other membersSection 37. Unless the association agreement provides otherwise, every other member must consent to the disposal. A price can be agreed and the sale still not be capable of implementation.
